The law firm BA-HR sent a report to the county council on 20 November. It states that 50 percent of F1 Holding can be resold without triggering preemptive. For a controlling stake, there is great doubt whether the right is triggered. “It must be clarified at a later stage,” writes attorney Sam E. Harris in conclusion.
Wiersholm is the county’s legal advisers, and their conclusion is classified. But BA-HR type in their summary: “We perceive our conclusion as to be in line with the conclusions on the same issues in Wiers Holms note of 2 September 2015″.
Havila has received a report from Filip Truyen, which is a partner in Wikborg Rein and law professor at the University of Bergen. It states that the sale of shares in F1 Holding is a circumvention of first refusal. “That involves Havilafjord as getting a solution to shares as F1 Holding as has Fjord1,” writes Truyen.
